Terms and Conditions

1. Scope & Definitions

These Terms and Conditions of Supply and Business ("Terms") govern all quotation requests, technical proposals, commercial supply contracts, and product deliveries made by GVE Overseas Private Limited (CIN / Registration in Uttar Pradesh, GSTIN: 09AAKCG3701B1Z0), hereinafter referred to as "the Manufacturer", "Company", "we", or "us".

Any person, firm, commercial contractor, municipal corporation, infrastructure developer, or entity procuring lighting products or requesting quotations is designated as "the Buyer" or "Client". By placing a Purchase Order (PO), confirming an RFQ quote via WhatsApp, or approving an invoice, the Buyer expressly agrees to be bound by these Terms.

2. Quotations, Pricing & Validity

All commercial quotations issued by GVE Overseas Private Limited are subject to the following rules:

• Validity Period: Written quotations are strictly valid for thirty (30) calendar days from the date of issuance, unless explicitly stated otherwise in writing. Raw material fluctuations (aluminum ingots, LEDs, driver silicon) may require price revision after expiration.
• Taxes: Unless indicated as GST-inclusive, all prices quoted are exclusive of Goods and Services Tax (GST @ 18% or prevailing rate) and other statutory cess/levies applicable at the time of invoicing.
• Freight & Loading: Standard quotations are provided Ex-Works (Loni, Ghaziabad manufacturing unit) unless Freight Paid (FOR destination) is expressly agreed upon in the commercial quote.

3. Orders & Custom Fabrication

GVE Overseas specializes in solid-state LED luminaires (Street Lights, High Mast Floodlights, High Bay UFO fixtures, Downlights, Linear Profiles) and Solar lighting systems with customized optical beam angles and LiFePO4 battery specifications:

• A Purchase Order becomes binding only upon written acceptance by GVE Overseas or receipt of the agreed advance payment.
• Customized architectural laser-cut CNC decorative poles, bespoke powder coating shades (RAL codes), or specialized optics cannot be cancelled once raw material laser-cutting or casting has commenced.
• Modifications to technical specifications after order confirmation may result in revised delivery timelines and additional fabrication charges.

4. Payment Terms & Invoicing

Payment terms must follow the specific milestones detailed in the accepted proforma invoice or purchase contract:

• Standard commercial transactions require an initial mobilization advance upon order confirmation, with the balance cleared prior to factory dispatch (against dispatch inspection video / test report).
• Credit facilities, if extended to approved institutional or government contractors, are subject to stringent credit limits and formal bank guarantees.
• Failure to make payment within the stipulated term may incur delayed payment interest as permissible under Indian commercial laws.

5. Dispatch, Logistics & Transit Insurance

Goods are carefully packaged in export-grade multi-layer corrugated boxes with high-density foam supports to prevent in-transit mechanical vibration.

• Delivery schedules provided are estimated in good faith based on current manufacturing capacity and raw material availability.
• The risk of loss passes to the Buyer upon handover of consignments to the nominated freight carrier at our Ghaziabad plant, unless transit insurance has been specifically billed and contracted through us.
• The Buyer or their designated site engineer must inspect all package seals immediately upon delivery and endorse any visible transit damage on the consignment note (LR copy).

6. Testing & Quality Assurance

Every production batch undergoes stringent multi-stage inspection at our Loni, Ghaziabad facility, including high-voltage insulation tests, 10kV surge suppressor (SPD) verification, 4-hour burn-in aging, and IP66 ingress protection checks. Photometric test reports (IES files) and LM-79 / LM-80 test documentation are provided upon request for government tender compliance.

7. Manufacturer Warranty Policy

GVE Overseas Private Limited provides a comprehensive manufacturer warranty on solid-state LED fixtures and Solar lighting systems against manufacturing defects and driver failure:

Warranty Exclusions: This warranty does not cover defects or damage resulting from:

• Improper installation, incorrect wiring, or operation beyond nominal voltage ranges (e.g., severe sustained line over-voltage exceeding specified driver tolerance).
• External mechanical impact, vandalism, lightning strikes exceeding rated SPD capacity, fire, or flood.
• Unauthorized opening, repair attempts, or alteration of fixtures without written authorization.

8. Claims, Inspection & Replacement Protocol

In the rare event of a product defect during the warranty period, the Buyer must notify our technical support team at info@gveoversease.com or WhatsApp (+91 85958 47311) along with photographs, serial numbers, and invoice copy.

Upon verification, GVE Overseas will repair or replace the defective luminaire or component (e.g., driver module) under warranty. Replacements will be dispatched promptly to minimize project downtime.

9. Limitation of Liability & Force Majeure

To the fullest extent permitted by applicable law, GVE Overseas Private Limited's total cumulative liability for any claim arising out of the supply or use of its products shall not exceed the net purchase price paid by the Buyer for the specific goods giving rise to the claim.

Neither party shall be held liable for failure or delay in performing contractual obligations resulting from events beyond reasonable control ("Force Majeure"), including acts of God, industrial strikes, transport embargoes, pandemic lockdowns, or power grid failures.

10. Governing Law & Jurisdiction

All quotations, contracts, transactions, and disputes arising out of or related to our products and services shall be governed by and construed in accordance with the substantive laws of the Republic of India.

The competent courts located in Ghaziabad, Uttar Pradesh, India shall have exclusive territorial jurisdiction over any litigation or legal dispute between the parties.
